1. Acceptance of Terms

By accessing or using the Resde platform and its services (collectively, the "Service"), provided by Resde Inc. ("Resde", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service. These Terms apply to all users of the Service, including residents, business owners/managers, and apartment managers.

2. Description of Service

Resde is a platform designed to connect apartment residents with exclusive deals and offers from local businesses. Apartment managers can onboard their complexes, and businesses can list deals targeted at residents of participating apartments.

3. User Accounts

3.1 Registration: To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security: You are responsible for safeguarding your password and for any activities or actions under your account. We encourage you to use a "strong" password (passwords that use a combination of upper and lower case letters, numbers, and symbols) with your account. Resde cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

3.3 Account Termination: We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

4. User Roles and Responsibilities

4.1 Residents: Residents use the platform to discover and redeem deals. Redemption of deals is subject to the terms and conditions set by the offering business.

4.2 Businesses: Businesses are responsible for the accuracy, legality, and fulfillment of the deals they offer. Businesses agree not to post misleading or fraudulent offers. Deals must comply with all applicable laws and regulations.

4.3 Apartment Managers: Apartment managers are responsible for accurately representing their apartment complex and managing resident access as per the platform's guidelines. They must ensure they have the authority to enroll their apartment complex in the Service.

5. User Conduct

You agree not to use the Service to:

• Post, upload, or distribute any content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, indecent, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Engage in any activity that would interfere with or disrupt the Service or servers or networks connected to the Service.
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service.
• Violate any applicable local, state, national, or international law.

6. Content on the Service

6.1 User-Generated Content: You are solely responsible for any content you post, upload, or otherwise make available on the Service ("User Content"). You retain ownership of your User Content, but you grant Resde a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, distribute, and display your User Content in connection with operating and providing the Service.

6.2 Business Listings and Deals: Resde does not endorse and is not responsible for the accuracy, legality, or quality of deals, business listings, or other content provided by businesses. Any transaction or interaction between you and a business is solely between you and that business.

6.3 Content Removal: Resde reserves the right, but not the obligation, to monitor and remove any content that, in its sole discretion, violates these Terms or is otherwise objectionable.

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Resde Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Resde Inc.

8. Disclaimers and Limitation of Liability

8.1 Disclaimer of Warranties: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Resde makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

8.2 Limitation of Liability: In no event shall Resde, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

9. Indemnification

You agree to defend, indemnify and hold harmless Resde and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

10. Modifications to Service and Terms

Resde reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. We also reserve the right to modify or discontinue the Service (or any part thereof) without notice at any time.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of [Your State/Jurisdiction, e.g., California], United States, without regard to its conflict of law provisions.
